Taop Terms of Service

1. Introduction

Taop ("we", "us", "our") provides software and services that help creative professionals manage their business workflows. These Terms of Service ("Terms") form a binding agreement between Taop and any individual or entity ("you", "your") that accesses or uses our products. By creating an account, inviting team members, or accessing shared client areas, you agree to comply with these Terms.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a contract in your jurisdiction. You are responsible for safeguarding your credentials, configuring user roles, and ensuring that any connected services comply with your local laws (including GDPR, LGPD, CPRA, and other national frameworks).

3. Services & Subscriptions

We provide cloud-hosted software, APIs, and related support. Paid plans renew automatically until cancelled in your billing settings. You authorize us and our payment processors to charge the applicable fees and taxes. Unless required by law, payments are non-refundable.

4. Lifetime Access

The term "Lifetime" or "Lifetime Access," when offered, refers exclusively to the lifetime of the Service—that is, the period during which Taop continues to actively offer the Service to the public. It does not refer to the lifetime of the user or any indefinite or perpetual period. By purchasing a Lifetime Access plan, you acknowledge and agree that: (a) your access is contingent upon the continued operation of the Service; (b) we reserve the right to discontinue the Service at any time for any reason, including but not limited to business, technical, or economic factors; (c) if we decide to discontinue (sunset) the Service, we will provide you with reasonable prior notice of at least 30 days via email to give you time to export your data; (d) upon the discontinuation date, your access to the Service will cease and all licenses granted hereunder will terminate; (e) if the Service is discontinued within 12 months of your Lifetime Access purchase date, you will be eligible for a pro-rated refund calculated based on the remaining months of that 12-month period; after 12 months, no refunds will be due; (f) to the maximum extent permitted by law, our total liability to you for any claims arising out of or relating to your Lifetime Access purchase shall be limited to the amount you actually paid for such access; and (g) Lifetime Access does not guarantee that specific features will remain unchanged—we reserve the right to modify, replace, or discontinue specific features or tools within the Service at any time, without prior notice or liability. Lifetime Access grants you access to the core features of the Service as they exist and evolve over time, but does not guarantee access to future add-on services, which may have separate pricing.

5. Acceptable Use

You agree not to misuse Taop by disrupting our infrastructure, reverse engineering our code, uploading malicious files, or processing unlawful content. We may suspend access when we detect abusive behavior, security risks, or non-compliance with sanctions and export rules applicable to North America, South America, or Europe.

6. Intellectual Property

All Taop trademarks, code, and documentation remain our exclusive property. You retain ownership of the data you upload, and you grant us a worldwide, non-exclusive license to host, process, and transmit that data solely to deliver the services.

7. Payment & Taxes

You are responsible for any withholding or indirect taxes that apply in your country. When we are legally required to collect VAT, GST, ISS, or similar taxes, they will be added to your invoice. Late or failed payments may result in suspended access.

8. Data Protection & Cross-Border Transfers

We process personal data as described in our Privacy Policy and in accordance with GDPR, LGPD, CPRA/CPPA, and other regional regulations that apply to your use. When data is transferred outside the European Economic Area, the United Kingdom, Brazil, Canada, or the United States, we rely on appropriate safeguards such as Standard Contractual Clauses or comparable contractual commitments.

9. Third-Party Services

You may connect Taop to third-party tools (e.g., payment processors, storage providers, AI assistants). Those services are governed by their own terms, and you are responsible for any data you choose to share with them.

10. Add-On Services

Taop reserves the right to introduce new services to its platform as add-on items, which are not directly related to the main product included in your subscription plan. These add-on services, while and when they exist, will have their own pricing and subscription periods. The cost of add-on services is separate from and not included in the regular subscription fee you pay for access to the base application. You are not obligated to subscribe to any add-on service in order to use the regular features of Taop; all core functionality included in your base subscription will continue to work independently. However, add-on services require an active base subscription to function and cannot be used as standalone products without a valid Taop subscription plan.

11. Disclaimers

Taop is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We cannot guarantee uninterrupted or error-free operation.

12. Limitation of Liability

To the extent allowed by law, our aggregate liability for any claim arising out of or relating to these Terms is limited to the fees you paid to Taop in the 12 months preceding the event giving rise to the claim (or, for Lifetime Access purchases, the amount you paid for such access). Neither party is liable for indirect, incidental, or consequential damages, including loss of profits or data.

13. Indemnification

You agree to defend and indemnify Taop against claims brought by third parties arising from your misuse of the services, violation of laws, or infringement of intellectual property rights, except to the extent such claims are caused by our breach of these Terms.

14. Termination

You may stop using Taop at any time. We may suspend or terminate your access if you violate these Terms, fail to pay amounts due, or create security risks. Upon termination we will disable access but may retain data as required for legal, tax, or audit obligations.

15. Data Export

Upon termination of your subscription or discontinuation of the Service, you will have at least 30 days from the date of notice to export your data using the tools we provide. After this period, we may delete your data permanently. We are not responsible for data that is not exported within the provided timeframe.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, unless mandatory consumer protections in your country require otherwise. Parties agree to attempt informal resolution before initiating arbitration or litigation. Consumers in the EU, UK, Brazil, Canada, or other jurisdictions retain any mandatory rights granted by local law.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

18. Updates to the Terms

We may update these Terms to reflect regulatory changes, new features, or security requirements. When we make material changes we will notify you via email, in-product banners, or other reasonable means. Continued use after the effective date constitutes acceptance of the updated Terms.

20. Contract Electronic Signature and Storage Policy

By using Taop’s electronic signature feature, you acknowledge and agree that: (a) Taop acts solely as a passive software utility and electronic signature facilitator, and is not a party to any contract signed through the Service; (b) Retention Period: Taop guarantees to store signed and finalized contracts for a period of two (2) years from the date of final signature, or for as long as you maintain an active paid subscription with the platform (whichever is shorter); (c) User Archiving Responsibility: It is your sole responsibility to download, archive, and permanently store copies of all signed contracts for your tax, legal, and regulatory compliance records. Taop is not responsible or liable for any lost, deleted, or inaccessible contract files after your subscription terminates or the retention period expires; (d) Discontinuation notice: In the event that Taop is discontinued or sunsetted, you will receive at least thirty (30) days of notice to download and export your signed contract files, after which the files may be permanently deleted.## 21. Pricing Benchmark Data (Compass Feature)

Taop offers a Compass feature that provides pricing benchmark insights by aggregating estimate data across the platform.

(a) Data Use: By subscribing to and using Taop, you agree that the following anonymized, aggregated data from your estimates may be used to compute benchmarking insights for other users: project titles (for matching only, never displayed), estimated project hours, client size, country, currency, pricing data, and estimate statuses. Individual estimate details, prices, client names, and your identity are never revealed to other users.

(b) Anonymization & Aggregation: All Compass insights are presented as aggregate statistics only — counts, averages, medians, percentiles, and approval rates. No individual estimate is ever identifiable through Compass.

(c) Minimum Cohort Protection: Metrics are automatically suppressed when the comparable cohort is too small (fewer than five estimates) to prevent reverse identification.

(d) Exclusion of Your Own Data: Your own estimates are excluded from the cohort when you view Compass insights — you benchmark against other professionals' data, not your own.

(e) Retention of Aggregated Data: Aggregated benchmark metrics may be retained in anonymized form even after you delete your account, as they are no longer attributable to you once aggregated.

22. AI Credits

Taop offers AI-powered generation features (such as template and contract generation). Use of these features is governed by a credit system.

(a) Subscription Quotas: Active paid subscriptions grant a base allocation of AI credits per billing cycle. A monthly subscription grants 20 AI credits per month; a yearly subscription grants 240 AI credits per year.

(b) Expiration of Subscription Credits: Unused subscription-granted AI credits do not roll over to the next billing cycle. They expire automatically at the end of each billing period (monthly or yearly) immediately before the new period's credits are granted.

(c) Credit Pack Purchases: Users may purchase additional one-time credit packs (e.g., Starter, Pro, Bulk). These credits are active upon purchase and expire exactly 12 months (365 days) from the purchase date.

(d) Consumption and Refund Policy: One credit is consumed only upon a successful AI generation. Failed generations that result from system or infrastructure errors will not consume credits. Purchased credit packs are non-refundable.
